Woodhead & Windyhills Community Trust LTD.

Objectives

  • To preserve access to Windyhills as a community amenity.
  • To provide a high quality accessible amenity to the community of Aberdeenshire.
  • To pursue opportunities for economic growth through sensitive development of the natural environment.
  • To advance education of the natural built environment amongst the inhabitants of Aberdeenshire.
  • To promote the protection of the environment and conservation of the fauna and flora.

Committee

  • There will be a maximum of 20 committee members with representives from the following groups:
  • People resident in Backhill, Greenmyre, Lethenty, Monkshill, Woodhead.
  • People from surrounding communities.
  • People with specific interest.

Quorum minimum of 5  The ability to co-op ex offico members from interested bodies.

 Election of committee shall be a maximum of three years, able to seek re-election. One third of the membership shall retire annually beginning after the first two years.

Annual Meetings

  • The first general meeting shall be no later than ........Sept. 2002, and once in each year thereafter an annual general meeting shall be held, not more than 15 months after the proceeding meeting.

The purpose of the meeting will be:

  • To consider the annual report on the overall operation and finance.
  • To approve audited accounts.
  • Re-appoint auditors.
  • To elect new Committee members (nomination to be submitted one week prior to the meeting)

Meetings

  • The committee members will meet on a regular basis, not less than four times in a 12 month period.
  • A quorum will consist of five members.
  • an extraordinary meeting can be called at any time providing fourteen clear days notice is given and at least on third of the members request it, giving reasons.

Powers

  • To have overall responsibility for maintaining and developing  the Windyhills site.
  • Ensure that the area is used for the benefit of people as outlined in the objectives.
  • Maintain a bank account with appropriate signing officers (2 of 3)
  • Raise funds or borrowings which may benefit the area/people described in the objectives.
